1. Services Provided

Saturn AI provides technology and related professional services, which may include:

• IT staffing and workforce solutions
• Cloud, DevOps, and infrastructure services
• IT consulting, architecture, and transformation planning
• Application, API, and platform development
• AI, automation, and data analytics services
• Managed technology operations and support

The specific scope, deliverables, and assumptions for an engagement are described in the applicable proposal, order, or statement of work.

2. Client Responsibilities

Clients agree to:

• Provide accurate information reasonably required to deliver the services
• Make timely decisions and provide access to systems, people, and data as agreed
• Ensure they have the rights to any materials they supply
• Pay fees in accordance with the agreed commercial terms
• Comply with applicable law in their use of the services and deliverables

3. Fees and Payment

Fees are as quoted in the proposal or service agreement. Unless otherwise agreed in writing:

• Invoices are payable within the period stated on the invoice
• Work may be paused if invoices remain unpaid after reasonable notice
• The client is responsible for applicable taxes other than taxes on Saturn AI income
• Estimates are not fixed prices unless expressly stated as fixed

4. Intellectual Property

Unless otherwise agreed in writing:

• Saturn AI retains ownership of pre-existing methods, tools, and materials
• Upon full payment, the client receives a licence to use deliverables for the internal business purpose described in the engagement
• Third-party software and cloud services remain subject to their own terms
• Open-source components are governed by their applicable licences

5. Confidentiality

Each party will keep confidential information of the other secure, use it only for the engagement, and not disclose it to third parties except as required by law or with consent. This obligation does not apply to information that is public, independently developed, or already known without duty of confidence.

6. Warranties and Limitations

Services will be performed with reasonable skill and care. Except as required by law:

• Saturn AI does not warrant that software or systems will be error-free or uninterrupted
• Saturn AI is not responsible for third-party products, platforms, or services
• Liability is limited to the fees paid for the specific service giving rise to the claim, except where the law does not allow such a limit
• Neither party is liable for indirect or consequential loss, lost profit, or lost data, except where the law does not allow that exclusion

7. Termination

Either party may terminate an engagement as stated in the statement of work, or if none is stated, on reasonable written notice. Either party may terminate for material breach if the breach is not remedied within a reasonable period after notice. The client remains responsible for fees for work performed and agreed expenses incurred up to termination.

8. Data Protection

Saturn AI will process personal data only as needed to provide the services and as described in the Privacy Policy below. Where Saturn AI acts as a processor, the parties will agree additional processing terms if required by applicable law.

9. Governing Law

These Terms are governed by the laws applicable to the Saturn AI contracting entity named on the proposal or invoice. Disputes will be subject to the courts of that jurisdiction, unless the parties agree otherwise in writing.

10. Changes to Terms

Saturn AI may update these Terms from time to time. The version in force when an engagement is accepted applies to that engagement unless the parties agree otherwise. Continued use of ongoing services after notice of a change constitutes acceptance of the updated Terms for future work.
